1. Acceptance of Terms

By accessing or using Derivinate ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Derivinate provides AI-powered agent services that can interact with third-party platforms on your behalf, including but not limited to email, calendar, document management, and e-commerce tools.

3. Accounts

You must provide a valid email address to create an account.
You are responsible for maintaining the security of your account credentials.
You are responsible for all activity that occurs under your account.

4. Credits & Payments

The Service operates on a prepaid credit system. You purchase credits which are consumed as your AI agent processes requests.
All payments are processed through Stripe. By adding a payment method, you agree to Stripe's terms of service.
Credits are non-refundable except at our sole discretion.
If auto top-up is enabled, your saved payment method will be charged automatically when your balance falls below the configured threshold.
When credits are depleted, your agent will be paused until credits are added.

5. Acceptable Use

You agree not to use the Service to:

Send spam, unsolicited messages, or bulk communications
Violate any applicable laws or regulations
Harass, abuse, or harm others
Attempt to gain unauthorized access to other users' accounts or data
Distribute malware or engage in any activity that disrupts the Service
Use the AI agent to generate illegal, harmful, or deceptive content

6. Third-Party Integrations

When you connect third-party services (Google, Calendly, Shopify, Stripe, Twilio, etc.), you authorize Derivinate to access and act on those services on your behalf. You are responsible for the actions your AI agent takes on connected services. You may disconnect any integration at any time.

7. AI Agent Behavior

AI agents act based on your instructions and configured personality. While we strive for accuracy, AI responses may occasionally be incorrect or unexpected.
You are ultimately responsible for reviewing and approving actions taken by your agent, especially those involving financial transactions, communications sent on your behalf, or modifications to your data.
We are not liable for any consequences arising from actions taken by your AI agent.

8. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our data practices as described therein.

9. Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or changes that temporarily affect availability.

10. Limitation of Liability

The Service is provided "as is" without warranties of any kind, express or implied. To the maximum extent permitted by law, Derivinate shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

11. Termination

We reserve the right to suspend or terminate your account at any time for violation of these terms or for any other reason at our sole discretion. You may terminate your account at any time by contacting us.

12. Changes to Terms

We may update these terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated terms.
